Terms of Service

These Terms of Service ("Terms") govern access to and use of TenderLog (the "Service"), provided by Blanca Gonzalez, trading as TenderLog, ABN 68 325 424 364, New South Wales, Australia ("we", "us", "our"). By creating an account or using the Service, you ("you", "your", or your "Company") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TenderLog is a web-based tender and bid tracking tool for fabricators and construction subcontractors. It lets your team log tenders, track builders bidding each job, record follow-ups, and view reports on your bidding activity. We may add, change, or remove features from time to time.

2. Accounts

• You must provide accurate information when creating an account, and keep your login details confidential. You're responsible for all activity under your account.
• The person who creates a Company's account becomes its first Admin. Admins can invite teammates, assign roles (Admin, Estimator, Director, Viewer), and manage the Company's subscription.
• You must be authorised to act on behalf of your Company to create an account for it.

3. Subscription & Payment

• TenderLog is a paid subscription service, billed weekly per Company (not per user) at the price shown at signup (currently $49.99 AUD/week, unlimited users).
• Payment is processed by Stripe. We never see or store your card details.
• There is no lock-in contract. You can cancel at any time from Settings > Billing; your access continues until the end of the billing period you've already paid for, and you won't be charged again after that.
• We may change pricing with reasonable notice (at least 30 days) before it applies to your next billing cycle.

4. Your Data

You (your Company) own the data you put into TenderLog — your tenders, builder contacts, notes, and everything else you enter. We don't sell it, and we don't use it for anything other than providing and improving the Service to you, as described in our Privacy Policy.

You're responsible for the accuracy of the data you enter, and for making sure you have the right to store any third-party contact information (such as builder contacts) in the Service.

5. Acceptable Use

You agree not to:

• Use the Service for anything unlawful, or in a way that could damage, disable, or overburden it.
• Try to access another Company's data, or attempt to circumvent the access controls that keep Companies' data separate.
• Reverse-engineer, resell, or white-label the Service without our written agreement.

6. Availability & Security

We take reasonable, industry-standard measures to keep the Service secure and available — including access controls that keep each Company's data separated from every other Company's, encrypted storage through our infrastructure provider, and regular backups. That said, no online service can be guaranteed 100% secure or uninterrupted, and we don't promise it will be.

If we become aware of a data breach affecting your Company's data, we will notify you without undue delay.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties, express or implied, about the Service — including that it will be error-free, uninterrupted, or fit for a particular purpose — except for any guarantees that cannot be excluded under the Australian Consumer Law.

8. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential loss (including lost profits, lost tenders, or lost business opportunities) arising from your use of the Service.
• Our total liability to you for any claim arising from these Terms or the Service, however it arises, is limited to the amount you paid us in the 12 months before the claim.
• Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.

9. Termination

You can stop using the Service and cancel your subscription at any time. We may suspend or terminate an account that breaches these Terms, or that we reasonably believe poses a security risk to other Companies using the Service. On termination, we will retain your data for a reasonable period (see our Privacy Policy) in case you wish to export it, and then delete it.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll let Admins know by email or an in-app notice before the change takes effect. Continuing to use the Service after that means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
